NARRAVERSE AUTHOR AGREEMENT

This Author Agreement ("Agreement") governs your use of the Narraverse platform as an author. By creating an Author account, submitting Content, or clicking "I Agree," you agree to this Agreement.

"Narraverse," "we," "us," and "our" refer to the operator of the Narraverse platform. "Author," "you," and "your" refer to the person or entity using Narraverse as an author.

1. Eligibility and Account

You must provide accurate and complete information and comply with all applicable laws.

You are responsible for your account and all activity conducted through it. You may not share, sell, or transfer your account, create fraudulent accounts, or use another person's identity or payment information without authorization.

Narraverse may require identity, tax, age, or payment verification before allowing publication or payouts.

2. Your Content and Ownership

You retain all ownership rights in the content you submit to Narraverse ("Content"), including novels, chapters, covers, images, descriptions, and other materials.

You represent and warrant that:

• you own the Content or have all necessary rights and permissions to use and monetize it;

• your Content does not infringe any third-party copyright, trademark, privacy, publicity, or other rights;

• you have obtained all necessary rights for translations, adaptations, illustrations, and other third-party materials; and

• your Content complies with applicable law and Narraverse's policies.

If you submit a translation, adaptation, or derivative work, you must have the necessary rights to do so.

3. License to Narraverse

You grant Narraverse a non-exclusive, worldwide, royalty-bearing, sublicensable license to host, store, reproduce, display, distribute, make available, format, technically modify, and otherwise use your Content as reasonably necessary to operate and promote the Platform.

This includes the right to:

• make Content available to Readers;

• display your title, cover, author name, description, and excerpts;

• include Content in search, recommendations, rankings, and promotional materials; and

• provide Content through Narraverse's technology and service providers.

This license does not transfer ownership of your Content to Narraverse.

You remain free to publish or monetize your Content elsewhere unless you separately agree to an exclusive arrangement with Narraverse.

4. Publication and Content Removal

Submitting Content does not guarantee publication, distribution, visibility, or continued availability.

Narraverse may reject, restrict, remove, demonetize, or suspend Content that violates this Agreement, applicable law, or Narraverse policies.

Narraverse may also remove or restrict Content in response to copyright complaints, legal requests, security concerns, fraud, or other legitimate reasons.

5. Pricing and Monetization

Where available, you may set the price of eligible Content within the pricing options provided by Narraverse.

Narraverse may offer Content through Coins, subscriptions, promotions, discounts, bundles, or other payment mechanisms.

Coins are virtual platform credits. They are not cash, cryptocurrency, securities, or property of the Author and cannot be withdrawn by Authors.

Narraverse may modify its pricing and monetization systems subject to applicable law and the applicable Platform policies.

6. Revenue Share

You will receive the applicable percentage of Net Revenue attributable to eligible purchases of your Content, as displayed in your Author account or otherwise agreed with you.

Unless otherwise specified:

Net Revenue = amounts actually received from eligible transactions minus applicable refunds, chargebacks, payment processing fees, taxes, fraud-related losses, promotional adjustments, and other transaction-related deductions.

Your applicable revenue-share percentage will be displayed by Narraverse.

Narraverse does not guarantee any minimum sales, readership, or earnings.

7. Refunds, Chargebacks, and Adjustments

Narraverse may issue refunds and process chargebacks or payment reversals.

Amounts previously credited to you may be deducted or reversed when a transaction is refunded, charged back, fraudulent, unauthorized, duplicated, or otherwise reversed.

Narraverse may hold or delay earnings when reasonably necessary to investigate fraud, disputes, refunds, chargebacks, or compliance issues.

If your Author balance becomes negative, Narraverse may offset the amount against future earnings or seek repayment where permitted by law.

8. Payouts and Taxes

Payouts are subject to the payout method, minimum threshold, schedule, verification requirements, and other conditions displayed by Narraverse.

You are responsible for providing accurate payout and tax information.

You are solely responsible for taxes arising from your earnings, except for taxes Narraverse is legally required to collect or withhold.

Narraverse may require tax forms or other documentation and may withhold or report payments where required by law.

9. Copyright and DMCA

Narraverse respects intellectual property rights.

If we receive a valid copyright complaint concerning your Content, we may remove or disable access to the Content and take other action permitted by applicable law and our Copyright/DMCA Policy.

We may suspend or terminate accounts of repeat or serious infringers.

You agree to cooperate reasonably with copyright investigations and disputes.

Knowingly submitting false or materially misleading copyright claims is prohibited.

10. Prohibited Conduct

You may not:

• upload or monetize content you do not have rights to use;

• plagiarize or impersonate another author;

• manipulate purchases, views, rankings, ratings, or reviews;

• use bots or fraudulent activity to generate revenue or engagement;

• conduct fraudulent transactions;

• circumvent Narraverse fees or payment systems;

• use the Platform for unlawful purposes;

• upload malicious code or harmful material; or

• otherwise violate Narraverse policies or applicable law.

Narraverse may take appropriate action, including removal, demonetization, suspension, or termination.

11. Reviews and Reader Interaction

You must not create, purchase, manipulate, or incentivize fake reviews or ratings, or otherwise artificially manipulate Reader engagement.

You must interact with Readers lawfully and respectfully and may not use Reader information for unauthorized purposes.

12. Marketing and Promotion

You grant Narraverse permission to use your author name, profile information, Content title, cover, description, excerpts, and other Content metadata to operate, promote, and market Narraverse and your Content.

Narraverse may feature your Content in recommendations, search results, newsletters, advertisements, social media, and other promotional channels.

Narraverse does not guarantee any particular level of promotion or visibility.

13. Removal and Previously Purchased Content

You may request removal of your Content.

However, Narraverse may retain copies or continue providing access where reasonably necessary to honor Reader purchases, process refunds or disputes, prevent fraud, maintain backups, comply with legal obligations, or protect legitimate business interests.

Where technically and legally appropriate, Readers who previously purchased or unlocked Content may continue to access that Content after its removal.

14. Suspension and Termination

Narraverse may suspend or terminate your account or restrict Content if we reasonably believe you have:

• violated this Agreement or applicable law;

• infringed third-party rights;

• engaged in fraud or payment abuse;

• manipulated Platform systems;

• submitted prohibited Content; or

• created a significant risk to Narraverse, Readers, Authors, or service providers.

You may stop using Narraverse and request account termination at any time.

Termination does not eliminate obligations or liabilities that arose before termination. Provisions concerning ownership, licenses, payments, taxes, indemnification, limitations of liability, disputes, and other provisions that reasonably should survive will survive termination.

15. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Narraverse and its affiliates, officers, directors, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from or related to:

• your Content;

• your breach of this Agreement;

• your violation of applicable law; or

• your infringement of a third party's rights.

16. Disclaimer

To the maximum extent permitted by law, Narraverse is provided on an "AS IS" and "AS AVAILABLE" basis.

Narraverse does not guarantee uninterrupted operation, error-free service, continued availability of any feature, or any particular level of traffic, readership, sales, or earnings.

17. Limitation of Liability

To the maximum extent permitted by law, Narraverse will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill.

To the maximum extent permitted by law, Narraverse's total liability arising from or relating to this Agreement will not exceed the greater of:

1. the amount paid or payable to you by Narraverse during the twelve (12) months preceding the event giving rise to the claim; or

2. US$100.

Nothing in this Agreement limits liability that cannot legally be limited.

18. Governing Law and Disputes

This Agreement is governed by the laws specified in Narraverse's applicable Terms of Service, without regard to conflict-of-law principles, except where mandatory law provides otherwise.

Disputes will be handled in accordance with the dispute-resolution provisions of the applicable Terms of Service.

Where legally permitted, disputes will be resolved on an individual basis and not as class or collective actions.

19. Changes to This Agreement

Narraverse may update this Agreement from time to time.

For material changes, we may provide reasonable notice through the Platform, email, or other appropriate means.

Your continued use of Narraverse after the effective date of an updated Agreement constitutes acceptance of the revised Agreement, unless applicable law requires otherwise.

20. Electronic Acceptance

By clicking "I Agree," creating an Author account, uploading Content, or otherwise using Narraverse's Author services, you acknowledge that you have read, understood, and agreed to this Agreement.

Electronic acceptance constitutes your legally binding agreement to these terms to the extent permitted by applicable law.

21. Policies Incorporated by Reference

The following policies, as applicable, form part of this Agreement:

• Narraverse Terms of Service;

• Content Guidelines;

• Copyright/DMCA Policy;

• Privacy Policy;

• Payment and Coin Policy; and

• Refund Policy.

If a specific policy conflicts with this Agreement, the provision specifically governing the relevant Author activity will control unless otherwise stated.
